Terms of Service
1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of Oak Store (the "Platform", "we", "us", "our"), operated by Superbrew LLC. By creating an account, publishing a product, or purchasing a product through the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
The Platform has two kinds of users: Creators, who offer digital products, services or calls, and Buyers, who purchase, claim or book those offers. Some sections apply to one group only; each section says which.
2. What Oak Store Is
Oak Store helps Creators build a storefront and offer digital downloads, links, services and 1:1 calls. Buyers can purchase, claim or book the offers available on that storefront. Oak Store provides storefront pages, checkout integration, digital delivery, booking tools and buyer/order records.
Oak Store is not the seller of Creator products. Each Creator sells their own products under their own name, sets their own price and policies, and is solely responsible for the product's legality, quality, description accuracy, customer support, and any refunds. Payments for paid products are processed through Stripe on a direct-charge basis to each Creator's own connected Stripe account — the Creator, not Oak Store, is the merchant of record for every sale. Oak Store does not hold, custody, or take a cut of transaction funds at this time (see Section 7).
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create a Creator account or to make a purchase as a Buyer. By using the Platform you represent that you meet this requirement and that your use complies with the laws that apply to you.
4. Accounts
Creators register and authenticate to manage their storefront. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at superbrewllc@gmail.com if you suspect unauthorized access.
Buyers do not need to create an account to purchase or claim a product. A purchase or free claim requires a valid name and/or email address (as configured by the Creator for that product) and, for paid products, a payment method processed by Stripe.
5. Creator Terms
By publishing a product, you represent that:
- You own the product or have all rights necessary to sell and distribute it.
- The product does not infringe any copyright, trademark, patent, trade secret, or other right of a third party.
- The product complies with applicable law and is not on the prohibited list in Section 9.
- The description, price, and any storefront policies (refund, delivery, contact) you publish are accurate and are the terms you intend to honor with your Buyers.
You keep ownership of everything you upload. By publishing, you give Oak Store a non-exclusive, worldwide, royalty-free license to host, store, copy and transmit your product and storefront content solely to operate the Platform: display your storefront, process checkout, deliver products and show your sales and analytics. This license ends when you delete the product or close your account, except for copies reasonably needed to preserve records of completed sales, meet legal obligations or maintain backups until they expire.
Creators are responsible for questions about their products, customer service and refunds under their published policies. Oak Store may pass product-related requests to the Creator but does not undertake to resolve them on the Creator's behalf. For problems using Oak Store itself, contact superbrewllc@gmail.com.
6. Buyer Terms
When you purchase a paid product, you enter into a sale agreement directly with the Creator. Oak Store facilitates checkout (via Stripe) and delivery or booking but is not a party to that sale agreement. Refunds, exchanges, and satisfaction guarantees are governed by the individual Creator's published storefront policy, not by Oak Store, except where applicable law gives you an independent right (for example, a right to dispute an unauthorized charge with your bank or Stripe).
When you claim a free product, you agree to provide accurate contact information where required and to use the product for your own purposes, subject to the Creator's stated terms for that product.
7. Payments, Fees & Taxes
All payment processing is handled by Stripe, Inc. ("Stripe"). Oak Store never receives or stores your full card number. Paid purchases are direct charges to the Creator's own Stripe Connect account — Stripe's own terms (https://stripe.com/legal/connect-account) also apply to every transaction.
Creator plans: Building a storefront and publishing free products require no monthly plan or payment card. New creators need a monthly plan to publish paid products. The price is shown before checkout. Eligible creators receive a one-time 14-day trial that begins when they complete plan checkout; a payment card is required. No plan charge is made during the trial. The plan renews monthly after the trial unless cancelled. You can manage billing or cancel in Account. A founding price stays with the subscription while it continues; after a paid founding subscription ends, a new subscription uses the public price. Creators with publishing access from before this pricing change keep that access. Oak takes no percentage of Creator sales; Stripe processing fees apply.
Creators are solely responsible for determining, collecting, and remitting any taxes owed on their sales (including sales tax, VAT, or income tax) in their own jurisdiction. Oak Store does not provide tax advice and is not responsible for a Creator's tax compliance.
Referral program
Your Referrals page shows your link and the rate and duration available to you. Share your link with other people. The account signing up cannot refer itself.
A referral link uses a first-party cookie for 30 days. The first valid referral link wins. When a new creator account is provisioned, its referrer and referral terms are recorded. An eligible invitation's referrer takes priority. Later changes to your rate or duration apply to future referrals, not creators already attributed to you. An operator correction affects invoices recorded afterward.
Commission is earned on paid Oak plan invoices within the referred creator's commission window, starting at their first plan payment. Trials, free invoices and failed payments earn nothing. Refunds reduce commission. Closing a referred account does not remove commission already earned. Refunds after a payout reduce the balance toward future payouts.
Payouts are handled manually each month once unpaid commission reaches $10. The Referrals page shows earnings, recorded payments and the balance owed.
The creator who referred you can see your storefront name, referral date, plan status, monthly plan price while paying, and the commission your plan payments earned them. They cannot see your email, products or sales through the referral report.
8. Delivery and Access
For digital downloads, Oak Store provides a download link after Stripe confirms payment or a free claim is completed. Download links expire and access may be revoked. Oak Store makes reasonable efforts to keep purchased files available for future re-download, but cannot guarantee permanent storage or availability. Download and keep your own copy promptly.
For links, services and 1:1 calls, delivery instructions, booking details and the Creator's stated terms apply to the offer you purchase or claim.
9. Prohibited Conduct
You may not use the Platform to upload, sell, or distribute:
- Content that is illegal, fraudulent, or deceptive.
- Content that infringes someone else's intellectual property or privacy rights.
- Malware, viruses, or anything designed to damage or gain unauthorized access to a system.
- Content that is defamatory, harassing, hateful, or sexually exploitative of minors.
- Products sold without the rights to sell them (e.g. reselling someone else's work as your own without permission).
You may not attempt to circumvent the Platform's payment flow to avoid applicable fees, scrape or bulk-extract other users' data, or interfere with the Platform's normal operation.
10. Third-Party Services
The Platform relies on third-party providers for payments and payouts, hosting and file storage, and transactional email. Your use of the Platform is also subject to those providers' own terms where you interact with them directly (for example, Stripe's checkout page).
11. Disclaimers
The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Oak Store does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any Creator's products meet a Buyer's expectations.
12. Limitation of Liability
To the maximum extent permitted by law, Oak Store will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Platform. Oak Store's total liability for any claim relating to the Platform will not exceed $100.
13. Indemnification
You agree to indemnify and hold Oak Store harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.
14. Termination
You may stop using the Platform at any time. We may suspend or terminate a Creator's or Buyer's access for violating these Terms, at our discretion, with notice where practicable. Sections that by their nature should survive termination (ownership, disclaimers, liability limits, indemnification) continue to apply after termination.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date; continued use after a change means you accept the updated Terms.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
